The terms under which you may use the apps and extensions published by AppTool15.
This is an English courtesy translation. The German version of this page is the legally binding text; in case of any discrepancy, the German version prevails.
Version 1.3, in effect from 18 February 2024
AppTool15 is a brand of Werbeagentur 15°.
Referred to below as “we” or “us”. “You” means the account that installs one of our apps, and anyone acting on its behalf.
By installing or using one of our apps you accept these terms. If you accept them for an organisation, you confirm that you are authorised to do so.
Our apps are offered to businesses only — to traders, legal entities under public law, and special funds under public law within the meaning of section 14 of the German Civil Code. They are not offered to consumers. By entering into a contract with us you confirm that you are acting in the exercise of your trade, business, or profession.
These terms apply to every app and extension we publish under the AppTool15 name, whatever platform it runs on — among them monday.com, Shopify, and Shopware.
Each app has its own supplement covering what it does, how it is billed, and what happens to your data. Where a supplement and these terms differ, the supplement prevails for that app.
Our apps have no account and no password of their own. Your account on the platform the app runs on is your identity with us, and the access you grant on installation is what lets the app work. Access ends when you uninstall the app or withdraw that permission.
You are responsible for who in your organisation can reach the app and anything it publishes.
Everything you put into one of our apps stays yours. You grant us only the right to store and process that material to the extent needed to operate the app for you.
You are responsible for what you collect and publish. In particular you must ensure that you hold the rights to the material you upload, that you have a lawful basis for any personal data you collect and inform the people concerned as your local law requires, and that nothing you publish through our apps is unlawful, infringing, or deceptive.
Where an app collects personal data on your behalf, you are the controller and we act for you. Details are in our privacy policy and in the app's supplement.
You may not use our apps to send unsolicited messages, to harvest personal data without a lawful basis, to impersonate anyone, to distribute malware, or to place a load on a service that goes beyond normal use. We may suspend an account that does, and will tell you why.
There are two ways to obtain a paid plan, and which one applies depends on how you got the app. Either it is sold and billed through the marketplace of the platform the app runs on, or you book it directly with us from inside the app. Which plans exist, what they cost, and what limits they carry is set out in the app and in the app's supplement.
Prices, billing periods, invoices, taxes, and refunds are handled by that marketplace, under that platform's terms. We do not process your payments and never see your payment details. You cancel through the same marketplace; a cancellation takes effect at the end of the period you have already paid for.
The contract comes about when you select a plan in the app, submit your billing details, and complete payment on the checkout page. The plan is made available to you immediately afterwards, and you receive a confirmation by email. You are responsible for the accuracy of the billing details you give us.
All prices are net prices. German value added tax is added where it is owed. For business customers in other EU member states with a valid VAT identification number, the reverse charge procedure applies; for customers outside the EU we invoice without German VAT. Any taxes or duties owed in your own country are yours to declare and pay.
We charge in advance for the chosen period — monthly or yearly. Payment is taken when you book and then automatically at the start of each further period, using the payment method on file, such as a credit card. Payments are processed by our payment provider Stripe. You receive each invoice by email; all invoices are also available in the customer portal, which you reach through the account menu in the app.
The contract runs for the period you chose and renews automatically for a further period of the same length unless it is terminated before the current period ends. Notice can be given at any time up to the last day of the current period, in the customer portal or in text form to the address above. There is no minimum notice period.
Terminating early does not entitle you to a refund of fees already paid for the current period; the plan remains available to you until the period ends. If you uninstall the app, this counts as notice to the end of the paid period: the contract will not renew, but there is no refund for the rest of the period in this case either. We may grant a refund as a gesture of goodwill, but we do not have to.
If a payment fails, it is retried several times, and you receive an email with a link to update your payment method. The plan stays in place meanwhile. If payment still fails after the retries, the contract ends and your account continues on the free plan. Your data is not deleted; forms beyond the free plan's limit are put on hold and become available again once you book a plan again. Our statutory rights in respect of late payment are unaffected.
We may change prices for future periods. We will tell you at least 30 days before the change takes effect. The new price applies from the next renewal; if you do not want to continue at that price, you can terminate before the current period ends.
If an app is not yet listed in the marketplace of the platform it runs on at the time you book, we bill you directly. Once it is listed there, that platform's terms require billing to run through its own payment processing. We may therefore move existing contracts to that route.
We announce the move to you in text form at least 30 days in advance. The announcement states the date, the fee that will apply from then on, and the steps you need to take. From the move onwards, the section “Through a marketplace” governs invoices, payment, taxes, and cancellation. Your plan, what it includes, and its limits stay as they are.
You may terminate the contract with effect from the date of the move. We point this out separately in the announcement. If you do not terminate, the move is treated as accepted.
You do not pay twice for the same period. We refund a fee paid in advance pro rata for the part of the period not yet used, or credit it against the billing on the platform where that platform allows it. Your use continues without interruption; your content and settings are kept.
If your account on the platform does not support its payment processing for apps, we continue to bill you directly.
We aim to keep our apps available at all times, but we do not promise uninterrupted operation. Maintenance, faults, and outages at the platform the app runs on or at our hosting provider can interrupt a service. We keep planned maintenance short and, where it matters, announce it in the app.
Support is available by email at rnd@apptool15.com and through the contact form on this website. We answer within two business days.
We may contact the person who installed an app about the service itself — a welcome message after installation, notices about maintenance, security, changes to these terms, or your subscription. These are part of providing the service and cannot be switched off while you use it.
We do not send marketing email without your explicit consent, and we do not sell or pass your address to anyone for that purpose. News about new features appears inside the app.
When you uninstall an app or withdraw its permissions, any access token we hold is deleted immediately, and the data the app stored for you is deleted permanently within ten days. What exactly that covers is set out in the app's supplement.
Anything the app has already written into your own account on the platform belongs to you and remains untouched. Export what you still need before you uninstall.
Our apps, their source code, design, and names remain ours. You receive a non-exclusive, non-transferable right to use an app for as long as your subscription lasts. You may not copy, decompile, resell, or offer an app as a service of your own.
Our apps are provided as they are. We do not warrant that they are free of faults or fit for a particular purpose beyond what is described in their documentation.
We are liable without limitation for damage caused intentionally or by gross negligence, for injury to life, body, or health, and wherever mandatory law provides for it. For ordinary negligence we are liable only for breach of an obligation essential to this contract, and then only for the damage typically foreseeable for such a contract. We are not liable for lost profits, for lost data where you could have prevented the loss by reasonable backups, or for faults in the platform the app runs on.
Nothing in these terms limits rights that the law of your country gives you and that cannot be limited by agreement.
We may change these terms when a service changes or the law requires it. We announce material changes in the app at least 30 days before they take effect. If you keep using the app after that date, the new version applies; if you do not agree, you may cancel before it takes effect.
These terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a merchant, a legal entity under public law, or a special fund under public law, the courts of Görlitz, Germany, have exclusive jurisdiction. If you are a consumer, you may also bring a claim in the courts of your place of residence, and the mandatory consumer protection law of your country of residence continues to apply.
Should any provision of these terms be or become invalid, the remainder stays in force.
